Learnly by BrainCert, Inc. offers a Business Associate Agreement ("BAA") to customers who require it under the U.S. Health Insurance Portability and Accountability Act ("HIPAA"). This page summarizes the agreement and how to enter into one. The full BAA text is provided at signature.
The BAA supplements your underlying Learnly service agreement and is specifically applicable to the processing of Protected Health Information ("PHI") by BrainCert when acting for a Customer that is a Covered Entity or Business Associate under HIPAA.
The Customer is either a "Covered Entity" or "Business Associate" as outlined in HIPAA, will adhere to HIPAA regulations while using the Service (including leveraging any tools provided within the Service to meet HIPAA's minimum necessary standard), and will not prompt BrainCert to undertake any actions that would violate HIPAA if performed by the Customer.
BrainCert will adhere to HIPAA's security standards for electronic PHI, including encryption in transit and at rest, audit logging, role-based access, and breach notification. Either party may terminate the BAA by written notice if the other materially breaches; BrainCert may also terminate if the Customer imposes limitations that adversely affect BrainCert's ability to fulfill its HIPAA responsibilities.
